Terms of Service
Terms and conditions for using PickPoint geolocation APIs.
1. Acceptance
By creating an account or using any PickPoint API or dashboard (the "Service"), you agree to these Terms of Service ("Terms") with PickPointio LLC ("PickPoint"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.
2. Account and API keys
You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your API keys. Treat keys as passwords - do not commit them to public source repositories or embed them in client-side code. Notify support@pickpoint.io immediately if a key is compromised. You must be at least 18 years old to create an account.
3. API access license
Subject to these Terms and your plan's usage limits, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own products and applications. You may not sublicense, resell, or provide the raw API endpoints or responses as the primary product to third parties in a way that competes with PickPoint.
4. Acceptable use
You may use the Service for any lawful purpose. You agree not to:
- Track individuals without their knowledge, consent, and a lawful basis for processing
- Resell or redistribute raw geocoding or routing responses as a standalone competing geocoding service without transformation or value addition
- Attempt to reverse-engineer, circumvent, or stress-test authentication, rate controls, or pricing mechanisms
- Generate synthetic or automated query traffic designed to exhaust quotas without legitimate product purpose
- Use the Service for surveillance, stalking, harassment, or discriminatory targeting
- Violate any applicable local, national, or international law
5. Data you submit
Address strings, coordinates, and other query inputs you send to the API are used solely to deliver the response to that request. They are logged transiently (see our Privacy Policy) and not used to build profiles of individuals or sold to third parties. GPS track data submitted via the Device Tracking API remains yours; we process and store it as your data processor.
6. Intellectual property and attribution
Geocoding and map data is sourced from OpenStreetMap contributors, licensed under the Open Database License (ODbL). You must provide OpenStreetMap attribution in any product that displays data derived from our geocoding results ("© OpenStreetMap contributors"). PickPoint's software, brand, trademarks, and documentation are our intellectual property and may not be reproduced without permission.
7. Payment and billing
Paid plans are billed monthly in advance. Overages are calculated and billed at the end of each billing period at the rates displayed in your plan. All fees are non-refundable except as required by applicable law or as stated in a separate Enterprise agreement. We may change plan pricing with 30 days' written notice. Continued use after a pricing change takes effect constitutes acceptance of the new rates. Unpaid invoices may result in suspension of API access.
8. Service changes and availability
We may add, modify, or remove features of the Service with reasonable notice. We will not materially degrade existing API functionality without 90 days' prior notice to affected users. Uptime commitments and service credits are detailed in the Service Level Agreement.
9. Third-party services
The Service integrates with third-party providers including Stripe for payments and OpenStreetMap for map data. Your use of those services is governed by their respective terms. PickPoint is not responsible for the availability or conduct of third-party services.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PICKPOINT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF GEOCODING RESULTS. GEOCODING RESULTS ARE DERIVED FROM THIRD-PARTY DATA AND MAY CONTAIN ERRORS; DO NOT USE THEM AS THE SOLE BASIS FOR SAFETY-CRITICAL DECISIONS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) PICKPOINT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU PAID IN THE THREE CALENDAR MONTHS PRECEDING THE CLAIM; AND (B) PICKPOINT IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You will defend, indemnify, and hold harmless PickPoint and its employees from and against any claims, liabilities, damages, and costs (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any third-party right; or (c) any claim that your application caused harm to a third party.
13. Termination
Either party may terminate these Terms by canceling the account with 30 days' notice. We may suspend or terminate your access immediately for material breach (including non-payment, violation of acceptable use, or illegal conduct). Upon termination, your API access is revoked. Data is deleted according to the retention schedule in the Privacy Policy.
14. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute that cannot be resolved through good-faith negotiation will be submitted to binding arbitration in Delaware. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for intellectual property disputes or to prevent irreparable harm.
15. Changes to these Terms
We may update these Terms to reflect changes in the Service, law, or our practices. We will notify you via email and a dashboard notice at least 30 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
